Malta Financial Services Authority Act (Cap. 330), article 7
7. (1) The Board of Governors shall meet as often as may be
necessary or expedient but in any case not less frequently than once
every three months. The meetings shall be convened by the
Chairman either on his own initiative or on the written request of
any three members.
(2) The Board of Governors may act notwithstanding any
vacancy amongst its members p rovided there is a quorum
consisting of not less than thr ee members present at the meetin g.
(3) The meetings of the Board of Governors shall be chaired by
the Chairman or in his absence b y the deputy Chairman, or by a
member elected for the particul ar meeting by the other members
present at the meeting.
(4) Decisions of the Board of Governors shall be taken by a
majority of votes of the members present, and the Chairman or

other person chairing the meeting shall have an original vote a nd in
the event of an equality of v otes a second or casting vote.
(5) ( a) The Board of Governors shall designate a person to act
as Secretary to the Board of Governors for such period
and as the Board of Governors shall deem appropriate.
(b) It shall be the duty of the Secretary to make the
necessary preparations for t he meetings of the Board
of Governors and to keep m inutes of those meetings.
(6) Any participation in the proceedings of the Board of
Governors by a person not entitled so to do, shall not invalida te the
proceedings.
(7) Subject to the foregoing provisions of this article, the Boa rd
of Governors may regulat e its own proceedings.
( 8 ) T h e B o a r d m a y i n v i t e a n y p e r s o n a n d m a y r e q u i r e a n y
officer or employee of the Authority to attend a meeting of the
Board of Governors and to tak e part in the discussions.
