Companies Act (Cap. 386), article 128
128. (1) Every company shall in each year hold a general
meeting as its annual general meeting in addition to any other
meetings in that year, and shal l specify the meeting as such in the
notices calling it, and not more than fifteen months shall elap se
between the date of one annual general meeting of the company a nd
that of the next:
Provided that so long as a company holds its first annual
general meeting within eighteen months of its registration it n eed
not hold it in the year of its registration or in the following year.
(2) Every general meeting other than an annual general meeting
shall be an extraordin ary general meeting.
(3) If default is made in complying with the provisions of sub-
article (1), every officer of the company who is in default sha ll be
liable to a penalty, and, for every day during which the defaul t
continues, to a further penalty.
