Companies Act (Cap. 386), article 136
136. A company shall, unless otherwise provided in its
memorandum or articles, have the power to borrow money and to
guarantee the obligations of any third party and, for such purp ose,
to hypothecate or charge its undertakings, property and uncalle d
capital or any part thereof including as security for its oblig ations
or for those of any third party, and to issue debentures, deben ture
stock and other securities whether outright or as security for its
liabilities or obligations or for those of any third party.
