Companies Act (Cap. 386), article 149
149. (1) Every company shall cause minutes of all proceedings
of general meetings and all pro ceedings at meetings of its dire ctors
to be entered in books kept for that purpose.
(2) Any such minute, if purporting to be signed by the
chairman of the meeting at which the proceedings were held, or by
the chairman of the next succeedin g meeting, shall be evidence of
the proceedings.
(3) The books containing the minutes of proceedings of any
general meeting of a company shall be kept at the registered of fice
of the company, or at such other place as may be specified in t he
memorandum or articles, and shall, during business hours, subje ct
to such reasonable restrictions a s the company may by its artic les
or in general meeting impose, be open to the inspection of any
member of the compa ny without charge.
(4) If a company fails to comply with the requirements of sub-
articles (1) or (3), every offi cer of the company who is in def ault
shall be liable to a penalty.
