172. The directors of a company, acting within the competences assigned to them by law, have collective responsibility for ens uring that: (a) the annual financial statem ents, the directors’ report and, when provided sep arately, the corporate governance statement and the remuneration report; and (b) the consolidated financial statements, consolidated directors’ reports, and when provided separately, the consolidated corporate governance statement and the remuneration report, are drawn up and published in accordance with the requirements of COMP ANIES [CAP. 386. 115 this Act.
