265. (1) When a company has passed a resolution for dissolution and consequential voluntary winding up, it shall, w ithin fourteen days after the date of dissolution of the company, del iver a notice of the resolution to the Registrar for registration. (2) If default is made by the company in complying with this article, every liquidator or offi cer of the company who is in d efault shall be liable to a penalty, and, for every day during which t he default continues, to a further penalty.
