Companies Act (Cap. 386), article 400
400. (1) The Minister shall appoint a senior official of the
Agency to be Registrar of Companies and other Commercial
Partnerships, who shall be designated "Registrar of Companies",
and may appoint persons to assist such Registrar, conferring on any
such persons all or any of the powers of the Registrar under this
Act or any other law.
(2) Without prejudice to the provisions of sub-article (1), the
Registrar may authorise in writing any person serving with the
office of the Registrar to perform any of the functions assigned to
the Registrar under this Act or any other law.
(3) Notwithstanding anything to the contrary contained in this Act
or any other law, the Registrar and any other person authorised in
accordance with sub-article (2), shall be exempt from any personal
liability whatsoever, including any liability in damages for anything
done or omitted to be done in the discharge or purported discharge of
any of his functions under this Act or under any other law, or otherwise
in the exercise of his official duties, unless the act or omission is
proved to have been done or omitted to be done, as the case may be, in
bad faith.
