Companies Act (Cap. 386), article 82
82. (1) A document or proceeding requiring authentication by
a company may be signed by a director, the company secretary or
other authorised off icer of the company.
(2) All documents supplied to the Registrar shall be
authenticated in accordan ce with this article:
Provided that where docu ments are supplied to the
Registrar by electronic means, such documents may be
authenticated by a director, the company secretar y, an authoris ed
officer of the company or by an individual specifically authori sed for
such purpose by the memorandum, or by a resolution of the board of
directors, or by an extraordinary resolution of the company.
Authentication of documents supplied to the Registrar by electr onic
means shall be made by an electronic signature duly recognised by
the Registrar.
