Gaming Act (Cap. 583), article 9
9. (1) The legal and juridical representation of the
Authority shall vest in the Chief Executive:
Provided that the Chief Executive may appoint any one
or more of the Authority’s membe rs, officers or employees to ap pear,
sign or otherwise act in the name and on behalf of the Authorit y in
any judicial proceedings and, or in any act, contract, instrume nt or
other document whatsoever:
Provided further that in respect of any matter falling
within the functions vested in any member of the Executive
Committee, the legal representation of the Authority shall also vest in
such Executive Committee member acting alone, or in such member ,
officer or employee of the Authority, as the Executive Committe e
member may appoint or authorise for the purpose.
(2) Any document purporting to be an instrument made or
issued by the Authority and signed by the Chief Executive, or b y a
member of the Executive Committee in relation to any matter fal ling
within the functions vested in the relative directorate by the
Authority, shall be received in evidence and shall, until the c ontrary
is proved, be deemed to be an in strument made or issued by the
Authority.
Audit Committee.10. (1) There shall be an Audit Committee, composed of
such members and with such functi ons as the Board may determine .
(2) Without prejudice to the generality of the provisions of
sub-article (1), the Audit Committee shall perform an internal audit
function, providing oversight of all processes, internal contro ls, and
checks and balances within the Authority, ensuring good corpora te
governance, as well as the compliance of the Authority with its
functions, objectives and obligations at law.
