Companies Act (Cap. 386), article 273
273. (1) Subject to the provisions of article 276, in the event
of the winding up continuing for more than twelve months, the
liquidator shall summon a general meeting of the company at the
end of the first period of twelve months from the commencement of
the winding up, and of each succeed ing period of twelve months, or
at the first convenient date within three months from the end o f the
period of twelve months, or within a longer term as the Registr ar
may allow, and shall lay before the meeting an account of his a cts
and dealings and of the conduct of the winding up during the
preceding twelve months, including a summary of receipts and
expenditure.
(2) If the liquidator fails to comply with the provisions of sub -
article (1) he shall b e liable to a penalty.
(3) A member or members holding not less than one-tenth of
the paid up share capital having the right to vote at general
meetings of the company may at any time, by request in writing

require the liquidator to convene a general meeting of the comp any.
Such request shall be signed by such member or members and shal l
state the object s of the meeting.
