Companies Act (Cap. 386), article 7
7. A partnership en nom collectif (referred to as a
"partnership" in the following provisions of this Part) may be
formed by two or more partners and operates under a partnership
name and has its obligations guaranteed by the unlimited and jo int
and several liability o f all the partners:
Provided that no action shall lie against the individual
partners unless the property of t he partnership has first been
discussed:
Provided further that where, and for as long as, none of the
partners is either an individual or a body corporate which has its
obligations guaranteed by the unlimited and joint and several
liability of one or more of its members, the provisions of arti cle 7A
shall also apply to that partnership.
